1. Agreement to Terms

By accessing our website and engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

3. Project Process and Timeline

Project Phases

Our typical project process includes:

• Discovery: Understanding your requirements and goals
• Proposal: Detailed project scope, timeline, and pricing
• Design: Creating visual designs and user experience
• Development: Building and coding the website
• Testing: Quality assurance and bug fixes
• Launch: Going live and initial support

Timeline

Project timelines are estimated based on project scope and complexity. Actual delivery may vary based on client feedback response times, scope changes, and external factors. We commit to communicating any delays promptly.

4. Payment Terms

Payment Schedule

• Small Projects (Under $3,000): 50% upfront, 50% upon completion
• Medium Projects ($3,000 - $10,000): 30% upfront, 40% at midpoint, 30% upon completion
• Large Projects (Over $10,000): Custom payment schedule outlined in contract

Payment Methods

We accept payments via bank transfer, PayPal, and other agreed-upon methods. All payments are due within 15 days of invoice date unless otherwise specified.

Late Payments

Late payments may result in project delays and additional fees. Work may be suspended for accounts more than 30 days overdue.

5. Client Responsibilities

The client agrees to:

• Provide accurate and complete project requirements
• Supply all necessary content, images, and materials in a timely manner
• Provide timely feedback on designs and development milestones
• Ensure all provided content is original or properly licensed
• Make payments according to the agreed schedule
• Communicate changes or concerns promptly

6. Scope Changes and Revisions

Minor revisions within the original scope are included. Significant changes or additions to the project scope will be quoted separately and require written approval before implementation.

Design revisions are typically limited to 3 rounds per phase. Additional revisions may incur extra charges.

7. Intellectual Property Rights

Client Ownership

Upon full payment, the client owns the final website and custom design elements created specifically for their project.

Klivo Studios Rights

We retain rights to:

• Display the work in our portfolio
• Use general techniques and methodologies for future projects
• Any pre-existing intellectual property or frameworks

Third-Party Components

Some projects may include third-party components, plugins, or frameworks that retain their original licenses.

8. Warranties and Support

Warranty Period

We provide a 30-day warranty for bug fixes and technical issues after project launch. This does not cover new feature requests or content changes.

Ongoing Support

Ongoing maintenance and support services are available separately. We recommend regular updates and maintenance to ensure optimal performance and security.

9. Limitation of Liability

Klivo Studios shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the total amount paid for the specific project.

10. Project Cancellation

Client Cancellation

Clients may cancel projects with written notice. Fees for completed work and expenses incurred up to the cancellation date will be charged.

Klivo Studios Cancellation

We reserve the right to terminate projects in cases of non-payment, scope creep without agreement, or unprofessional conduct.

11. Confidentiality

We respect the confidentiality of client information and will not disclose proprietary information to third parties without consent, except as required by law.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, or government actions.

13. Governing Law

These terms shall be governed by the laws of Nepal. Any disputes shall be resolved through good faith negotiation or, if necessary, through appropriate legal channels in Nepal.

14. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to existing clients. Continued use of our services constitutes acceptance of modified terms.
